- Agreement
By signing up to be an Affiliate in the HiTide Affiliate Program ("Program"), you agree to be bound by the following terms and conditions ("Terms of Service").
- Enrollment in the Program
To enroll in the Program, you must submit a completed Program application through the HiTide website. We will evaluate your application and notify you of your acceptance or rejection. We reserve the right to reject any application for any reason at our sole discretion.
- Affiliate Responsibilities
- Promotion:
You agree to promote HiTide through legitimate channels and practices. You will use the links, banners, and other promotional materials provided by us.
- Compliance:
You agree to comply with all applicable laws and regulations in connection with your participation in the Program.
- Content:
You will not promote HiTide on any website or platform that contains harmful, misleading, or offensive content.

- Commissions
- Commission Rates:
You will earn a commission for each qualifying sale made through your unique affiliate link. The commission rate is defined as a % of revenue collected for a period of months after your referral has signed up for a paid HiTide billing plan. The commission rate and payout period is defined on the signup page through Mantle Affiliates. Additionally, if you are previously approved by email for an Activation Bonus, it is defined as a one time payment in an amount previously approved, when your referral first signs up to a paid plan.
- Payment Schedule:
Commissions are paid monthly in the month following the collection of revenue from your referral. For example, if the referred brand generates $249 in the month, and we collect it in the next month, you will be paid in the following month’s billing period, provided the commission balance has reached $100 USD. If your commission balance does not reach the minimum payout amount, your earnings will be carried over to the next payment period.
- Tracking:
We use cookies to track referrals for up to 30 days. If a user does not use your affiliate link, we cannot track their purchase, and no commission will be earned.

- Termination
- By Either Party:
Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party written notice.
- For Cause:
We may terminate your participation in the Program immediately if we determine, in our sole discretion, that you have violated any of the terms and conditions of this Agreement.

- Intellectual Property
- License:
We grant you a non-exclusive, non-transferable, revocable license to use our logos, trade names, and trademarks (collectively, the "Marks") solely for the purpose of promoting HiTide in accordance with this Agreement.
- Restrictions:
You may not modify our Marks in any way, and you may not use our Marks in any manner that is disparaging or that implies our endorsement of any other product or service.

- Limitation of Liability
We will not be liable for any indirect, incidental, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total commissions paid or payable to you under this Agreement.
- Disclaimers
We make no express or implied warranties or representations with respect to the Program or any products sold through the Program (including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage).
- Independent Contractor
You are an independent contractor, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and HiTide. You will have no authority to make or accept any offers or representations on our behalf.
- Governing Law
This Agreement will be governed by the laws of the State of New York, without regard to its conflict of laws principles.
- Modification
We may modify any of the terms and conditions in this Agreement at any time at our sole discretion. In such event, you will be notified by email. Modifications may include, but are not limited to, changes in the payment procedures and HiTide Affiliate Program rules. If any modification is unacceptable to you, your only recourse is to terminate this Agreement. Your continued participation in the Program following the posting of the change notice or new Agreement on our site will indicate your agreement to the changes.
- Entire Agreement
This Agreement constitutes the entire agreement between you and us with respect to the Program and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and us. By signing up for the Clockwork Platform Inc (dba HiTide) Affiliate Program, you acknowledge that you have read and understood these terms and conditions, and you agree to be bound by them.
